Definitions

In these Terms & Conditions, the following definitions apply:

"Never Forget.club", "we", "us", "our" refers to the platform and its operators, trading under the brand name Never Forget.club, based in the Kingdom of Thailand.
"Member", "you", "your" refers to any individual aged 18 or over who has registered an account and activated a paid membership on the Never Forget.club platform.
"Membership" refers to a paid monthly subscription to the Never Forget.club platform, either Standard or Premium.
"Gift Credit" refers to the monthly allocation of physical gift(s) included in a Member's plan.
"Recipient" refers to the individual nominated by the Member to receive a gift.
"Gift Request" refers to a formal submission made by a Member requesting a gift to be sourced, personalised, packaged and delivered to a Recipient.
"Platform" refers to the Never Forget.club website, member portal, mobile interface, and all associated services.
"Billing Cycle" refers to the recurring monthly period commencing on the date of membership activation.
"PDPA" refers to Thailand's Personal Data Protection Act B.E. 2562 (2019).

Eligibility & Age Requirement

You must be at least 18 years of age to register and use the Never Forget.club platform.
By activating a membership, you confirm that you are 18 years of age or older.
Never Forget.club reserves the right to suspend or terminate any account where it is discovered that a Member is under the age of 18.
Membership is available to individuals only. Corporate or business accounts are not currently supported.
Each individual may hold only one active membership account. Multiple accounts held by the same individual may be merged or terminated at our discretion.

Membership Plans

3.1 Standard Membership

Monthly subscription fee: USD $19.99 per month (or the applicable early bird rate where confirmed).
Includes one (1) Gift Credit per calendar month.
Includes unlimited AI-generated personalised gift suggestions.
Includes automated date reminders for all saved Recipient profiles.
Includes free delivery of gifts to any address within Thailand.

3.2 Premium Membership

Monthly subscription fee: USD $37.99 per month (or the applicable early bird rate where confirmed).
Includes up to three (3) Gift Credits per calendar month.
Includes all Standard Membership features.
Includes priority gift sourcing and access to an extended gift value range.
Includes free delivery of all gifts to any address within Thailand.

3.3 Early Bird Pricing

Members who join the waitlist and activate their membership before the official public launch date shall receive a discounted lifetime rate as advertised at the time of sign-up.
This early bird rate shall remain fixed for the duration of the Member's continuous active membership and will not be subject to future price increases.
The early bird rate is personal and non-transferable.
The early bird rate is permanently forfeited upon cancellation of membership. Re-subscribing after cancellation will incur the prevailing standard rate at that time.

Auto-Renewal & Subscription Notice

IMPORTANT: Your Never Forget.club membership is a recurring subscription. It will automatically renew every month unless you cancel before your next renewal date.

Your membership will automatically renew on the same date each month (your renewal date) for the same monthly fee.
You will receive an email reminder at least 5 days before each renewal date as a courtesy notice.
Renewal charges will be applied to the payment method on file automatically on your renewal date.
You are responsible for ensuring your payment method remains valid and up to date. You may update your payment details at any time through your account portal.
To avoid being charged for a renewal, you must cancel your membership before your renewal date. Cancellations made on or after the renewal date will take effect at the end of that billing cycle.
Never Forget.club shall not be liable for any renewal charges where a cancellation request was not submitted prior to the renewal date.

Billing, Payment & Currency

5.1 Payment Processing

Membership fees are charged monthly on a recurring basis via the payment method provided at sign-up.
Payments are processed securely through Stripe. Never Forget.club does not store card details directly on our platform.
Accepted payment methods include major credit and debit cards (Visa, Mastercard) and PromptPay where available.
Membership fees are charged in advance at the beginning of each billing cycle.

5.2 Currency & Exchange Rates

All membership fees are priced and charged in United States Dollars (USD).
If your bank account or card is denominated in Thai Baht (THB) or another currency, your bank or payment provider will apply their prevailing exchange rate at the time of the transaction.
Never Forget.club is not responsible for any currency conversion fees, foreign transaction fees, or exchange rate fluctuations applied by your bank or card issuer.
Any such fees are the sole responsibility of the Member.

5.3 Failed Payments & Grace Period

In the event that a scheduled payment fails, Never Forget.club will automatically retry the charge up to three (3) times over a period of seven (7) days.
You will receive an email notification each time a payment attempt is made.
If payment cannot be successfully collected after three retry attempts, your membership access will be suspended.
During any payment suspension period, Gift Credits will not accrue and Gift Requests cannot be submitted.
Any pending Gift Requests submitted prior to the payment failure will be placed on hold and will not be fulfilled until payment is resolved.
If payment is successfully collected within 14 days of the original due date, your membership will be reinstated without penalty.
If payment remains outstanding beyond 14 days, your membership may be cancelled and any accrued Gift Credits will be forfeited.

To avoid disruption to your membership, please ensure your payment details are kept up to date in your account portal.

5.4 Refund Policy

Monthly membership fees are non-refundable except as expressly stated in Section 9 (Delivery Issues & Liability) of these Terms.
No refunds are issued for unused days within a billing cycle.
No refunds are issued for unused Gift Credits.

Free Trial (Where Offered)

If a free trial is offered, your payment method will be charged automatically at the standard rate when the trial period ends unless you cancel before the trial expiry date.

From time to time, Never Forget.club may offer a free trial period to new Members.
Free trial terms, including duration and eligibility, will be clearly communicated at the time of the offer.
To access a free trial, a valid payment method must be provided at sign-up.
Your payment method will not be charged during the free trial period.
At the end of the free trial, your membership will automatically convert to a paid subscription and your payment method will be charged the applicable monthly fee.
To avoid being charged, you must cancel your membership before the free trial period expires.
Free trials are available to new Members only and may only be used once per individual.

Gift Credits & Allocation

7.1 Credit Eligibility

Gift Credits become available to a Member 31 days after the date their membership is first activated.
This waiting period allows us to onboard the Member's Recipient profiles and generate appropriate personalised gift suggestions.
No Gift Credits may be redeemed during the initial 31-day period following sign-up.

7.2 Credit Expiry

Gift Credits are allocated on a monthly basis and expire at the end of each billing cycle.
Unused Gift Credits do not roll over to the following month under any circumstances.
Members are encouraged to submit Gift Requests in advance of the end of each billing cycle to avoid forfeiture of credits.
Gift Credits forfeited due to non-use are not refundable or compensable.

Example: If your billing cycle runs from the 1st to the 31st of each month and you do not submit a Gift Request by the 14th (to allow for the 17-day notice requirement), your credit for that month will expire. It does not carry to the following month.

Gift Requests

8.1 Submission Requirements

All Gift Requests must be submitted with a minimum of 17 days advance notice prior to the required delivery date.
This lead time is required to allow us to source, personalise, package and dispatch the gift in a timely and quality-assured manner.
Gift Requests submitted with fewer than 17 days notice may not be processed within the requested timeframe. In such cases, we will notify the Member and offer the next available delivery window.

8.2 Gift Selection Process

Upon receiving a valid Gift Request, Never Forget.club will generate three (3) personalised gift options for the Member to choose from.
Gift options are generated using information provided about the Recipient, including but not limited to their hobbies, personal background, relationship history, and the nature of the occasion.
The Member must select one (1) of the three options presented. No alternative gifts outside of the options presented will be available for that request.
Once a gift selection has been confirmed by the Member, the order is considered final and binding. It cannot be amended or cancelled.

8.3 Gift Value & Substitution

Gift values are approximate and may vary depending on availability, supplier pricing and seasonal factors.
Never Forget.club reserves the right to substitute a selected gift with an item of equal or greater value if the original item becomes unavailable after confirmation, without notice.
In the event of a substitution, every effort will be made to ensure the replacement gift is equally personalised and appropriate for the occasion.
Members will be notified of any substitution at the earliest opportunity.

8.4 No Refunds or Returns

All confirmed gift orders are final. Never Forget.club does not accept returns or offer refunds on individual gift orders once a selection has been confirmed by the Member.
This policy applies regardless of the Recipient's personal preference for the selected item.
In the event of a fault, damage, or non-delivery, please refer to Section 9 of these Terms.

Delivery & Liability

9.1 Delivery Coverage

Never Forget.club delivers gifts exclusively within the Kingdom of Thailand.
Delivery is included at no additional cost for all Standard and Premium Members.
We partner with reputable domestic courier services to fulfil deliveries.
Estimated delivery timeframes will be communicated at the time of Gift Request confirmation.

9.2 Delivery Responsibilities

Members are responsible for providing accurate and complete delivery addresses for each Recipient.
Never Forget.club accepts no liability for non-delivery resulting from an incorrect, incomplete or inaccessible address being provided by the Member.
Delivery times are estimates only and may be affected by factors outside our control, including public holidays, adverse weather, courier capacity, or force majeure events.

9.3 Packaging & Presentation

All gifts will be presented in Never Forget.club branded packaging.
We reserve the right to include branded inserts, gift notes or marketing materials within gift packaging.
Specific packaging styles, box designs or wrapping preferences cannot be guaranteed unless expressly offered as a feature of the relevant membership plan.

9.4 Our Liability for Delivery Issues

Never Forget.club takes full responsibility for the safe and timely delivery of gifts. In the event of any of the following, please contact our support team within 7 days of the expected delivery date:

The gift is confirmed lost in transit by the courier
The gift arrives visibly damaged
The gift is not delivered within a reasonable timeframe beyond the estimated date

9.5 Remedies for Delivery Issues

Where Never Forget.club is determined to be at fault for a lost, damaged or undelivered gift, we will offer the Member one of the following remedies:
Re-sourcing and re-delivering a replacement gift of equivalent value and personalisation at no cost to the Member, or
A full refund of the Member's most recent monthly subscription premium, applicable if the Member wishes to cancel their membership as a direct result of the delivery failure.
Cash refunds on individual gift orders are not available outside the circumstances described in this section.

To report a delivery issue, contact us at [email protected] within 7 days of the expected delivery date. Please include your membership reference, the Recipient's name, and a description of the issue.

Cancellation Policy

Members may cancel their membership at any time with no minimum commitment period and no cancellation fee.
Cancellations can be submitted through the Member's account portal or by contacting [email protected].
Upon cancellation, membership access and all associated benefits will continue until the end of the current billing cycle.
No partial refunds are issued for any unused days remaining within a billing cycle following cancellation.
Any unused Gift Credits at the time of cancellation are forfeited with immediate effect and will not be fulfilled after the cancellation request is submitted.
Early bird lifetime pricing is permanently forfeited upon cancellation. Re-subscribing after cancellation will be subject to the prevailing standard rate at that time.
Never Forget.club reserves the right to cancel or suspend a membership at any time in the event of a material breach of these Terms, with written notice provided to the Member where reasonably practicable.

Account Suspension & Termination by Never Forget.club

11.1 Grounds for Suspension or Termination

Never Forget.club reserves the right to suspend or terminate a Member's account in the following circumstances:

Fraudulent activity, including submitting false information in connection with a Gift Request or membership sign-up
Repeated or intentional chargebacks or payment disputes without valid cause
Abuse of the gift selection or substitution process
Violation of any provision of these Terms & Conditions
Use of the platform for any unlawful purpose
Any behaviour that is determined to be harmful to other Members, Recipients, or the platform

11.2 Notice & Process

Where reasonably practicable, Never Forget.club will provide the Member with written notice and a reasonable opportunity to remedy the breach before suspension or termination is enacted.
In cases of serious or repeated breach, or where there is a risk of harm or fraud, suspension may be immediate and without prior notice.

11.3 Refunds Upon Termination

If a Member's account is terminated by Never Forget.club due to a breach of these Terms, no refund of subscription fees will be issued.
If a Member's account is terminated by Never Forget.club for reasons unrelated to any breach by the Member, a pro-rata refund of the unused portion of the current billing cycle will be issued.

Account Security & Responsibility

You are responsible for maintaining the confidentiality of your account login credentials, including your password.
You must not share your account access with any other individual. Membership benefits are personal and non-transferable.
If you believe your account has been accessed without your authorisation, you must notify us immediately at [email protected].
Never Forget.club will not be liable for any loss or damage arising from unauthorised access to your account where you have failed to maintain the security of your login credentials.
We reserve the right to suspend any account showing signs of unauthorised access, unusual activity, or suspected misuse, pending investigation.
Never Forget.club will never ask for your password via email, phone or any channel other than the official account login page.

Recipient Data, Privacy & PDPA Compliance

14.1 Data We Collect About Recipients

To generate thoughtful and personalised gift suggestions, Never Forget.club collects certain personal information about each Recipient nominated by the Member. This may include:

Full name and relationship to the Member
Date of birth and significant dates (e.g. anniversary, first meeting date)
Hobbies, interests and personal preferences
The story of how the Member and Recipient met
Any other details voluntarily provided by the Member to assist personalisation

14.2 Legal Basis for Processing

Never Forget.club processes Recipient personal data on the basis of the Member's consent, as provided through the platform's data collection forms.
By submitting Recipient information, the Member confirms that they have obtained the Recipient's consent to share their personal data with Never Forget.club for the purpose of gift personalisation.
Never Forget.club acts as the Data Controller for all personal data collected through the platform, in accordance with Thailand's Personal Data Protection Act B.E. 2562 (PDPA).

14.3 How We Use Recipient Data

Recipient personal data is used solely for the purpose of generating personalised gift suggestions and fulfilling Gift Requests.
Recipient data is never sold to third parties.
Recipient data is not used for advertising, profiling or any purpose beyond the direct delivery of the Never Forget.club service.
We may share limited Recipient data (name and delivery address) with courier partners solely for the purpose of completing delivery.

14.4 Data Retention

Recipient personal data is retained for the duration of the Member's active membership.
Upon cancellation of membership, Recipient data will be retained for a maximum of 90 days to allow for any outstanding Gift Request fulfilment, after which it will be permanently deleted.
Members may request earlier deletion of any Recipient's data at any time by contacting [email protected].

14.5 Your Rights Under PDPA

Under Thailand's Personal Data Protection Act, Members and Recipients have the following rights regarding their personal data:

The right to access personal data held about them
The right to correct inaccurate or incomplete personal data
The right to request deletion of personal data (the right to erasure)
The right to withdraw consent to data processing at any time
The right to data portability — to receive a copy of data in a structured, commonly used format
The right to object to processing of personal data

To exercise any of the above rights, please contact us at [email protected]. We will respond to all valid requests within 30 days in accordance with PDPA requirements.

Service Availability & Maintenance

Never Forget.club aims to provide a reliable and continuously available platform, but does not guarantee 100% uptime.
Planned maintenance that may affect platform availability will be communicated to Members via email at least 48 hours in advance wherever possible.
Unplanned outages, technical failures or disruptions caused by third-party service providers (including payment processors or courier services) are outside our direct control.
Never Forget.club will not be liable for any loss of service, missed Gift Requests, or forfeited Gift Credits arising from a platform outage that is beyond our reasonable control.
In the event of an extended outage that materially prevents Members from submitting Gift Requests within a billing cycle, we will assess each case individually and may issue Gift Credit extensions or account credits at our discretion.

Acceptable Use

By using Never Forget.club, Members agree not to:

Provide false, misleading or fraudulent information during sign-up or in connection with any Gift Request.
Attempt to circumvent the 17-day Gift Request notice requirement through any means.
Use the platform for any unlawful purpose or in violation of any applicable Thai law or regulation.
Attempt to transfer, resell or share membership benefits with any third party.
Create multiple accounts to obtain additional Gift Credits or exploit promotional offers.
Use the platform in any way that could harm, disrupt or damage the platform or its users.
Introduce malware, viruses or any harmful code to the platform.

Intellectual Property

All content on the Never Forget.club platform, including but not limited to the brand name, logo, design language, platform methodology, AI gift generation process, and written content, is the intellectual property of Never Forget.club.
Members may not reproduce, distribute, reverse engineer or use any of our intellectual property without prior written consent.
The gift personalisation methodology used by Never Forget.club, including the data inputs and AI-driven suggestion process, is proprietary and confidential.

Limitation of Liability

To the maximum extent permitted by applicable Thai law, Never Forget.club's total aggregate liability to any Member shall not exceed the total monthly subscription fees paid by that Member in the three (3) months immediately preceding the event giving rise to the claim.
Never Forget.club is not liable for any indirect, incidental, consequential, punitive or special damages arising from the use of, or inability to use, the platform or the receipt of gifts by any Recipient.
We are not responsible for the personal preferences, reactions or opinions of Recipients regarding the gifts selected and delivered under a Member's account.
Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, or for any other liability that cannot be excluded by Thai law.

Amendments to These Terms

Never Forget.club reserves the right to update or amend these Terms & Conditions at any time.
Members will be notified of any material changes via email at least 14 days prior to the changes taking effect.
The updated Terms will be published on the platform with the revised effective date.
Continued use of the platform following the effective date of any updated Terms constitutes acceptance of those changes.
If a Member does not agree with the updated Terms, they may cancel their membership prior to the effective date of the changes without penalty.

Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand.
Any disputes arising from or in connection with these Terms shall first be subject to good faith negotiation between the Member and Never Forget.club for a period of 30 days from written notice of the dispute.
If a dispute cannot be resolved amicably within that period, it shall be submitted to the exclusive jurisdiction of the competent courts of the Kingdom of Thailand.
Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
